SaneLog Terms of Service

Last updated: 27 September 2026

These Terms of Service (Terms) are an agreement between Zesty Marmot Pty Ltd (ABN 40 702 662 806) trading as SaneLog, a company registered in Victoria, Australia (SaneLog, we, us), and the entity or person that registers for or uses the Service (you, the Customer).

By creating an Account, accessing the Service, or clicking to accept these Terms, you agree to be bound by them. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

These Terms incorporate the Pricing Page, the Data Processing Addendum in Schedule 1 (DPA), and our Privacy Policy, each as updated from time to time (together, the Agreement).

1. Definitions

2. The Service

2.1 Hosting region. Customer Content comprising log data is stored in the hosting region you select from the regions we make available from time to time (currently Australia). We will not move that log data out of your selected region except on your instruction, as necessary to provide the Service as configured by you (including the AI features described in clause 2.3), or where required by law. Account, billing and administrative data is stored in Australia regardless of the region you select.

2.2 Changes to the Service. We may improve or modify the Service, and add or replace features, provided we do not materially reduce the core functionality of your plan during a period you have paid for. If we make a change that materially reduces that functionality, you may cancel under clause 8.2 and clause 8.8 (pro rata treatment of prepaid fees) applies.

2.3 AI features. Some features of the Service use third-party AI model providers listed on our Subprocessors page. When a User uses one of these features, the Service sends the provider the information that feature needs, which can include Customer Content. Account Admins can turn AI features off for the Account, and no information is then sent to an AI model provider.

3. Accounts and Users

3.1 Registration. You must provide accurate registration and billing information and keep it current. You are responsible for all activity that occurs under your Account.

3.2 Users. You may invite Users to your Account and choose what each User can access. You are responsible for your Users' compliance with the Agreement and for managing their access, including promptly removing Users who should no longer have access.

3.3 Credentials and security. You must keep Account credentials and tokens confidential and secure. You must notify us promptly at support@sanelog.com if you become aware of any unauthorised access to your Account or credentials.

3.4 Eligibility. The Service is offered to businesses and professional users. You must be at least 18 years old to create an Account.

4. Customer Content

4.1 Your ownership. As between the parties, you own all right, title and interest in Customer Content. We claim no ownership of it.

4.2 Our licence to operate. You grant us a worldwide, non-exclusive licence to host, copy, transmit, process, display and otherwise use Customer Content solely as necessary to provide, secure, support and maintain the Service, to comply with law, and as otherwise permitted by the DPA. We do not use Customer Content to train machine-learning models, and we do not sell it.

4.3 Your responsibilities. You are responsible for the accuracy, quality and legality of Customer Content, for your right to transmit it to the Service, and for the means by which you acquired it. Where Customer Content includes personal information about your own end users or others, the DPA applies and you are responsible for having a lawful basis to collect and process that information and to have it processed by us.

4.4 Unencrypted ingest. TLS-encrypted syslog is the default. If you explicitly enable unencrypted ingest (plain TCP or UDP syslog) for your Account, you accept that data transmitted by those methods is not encrypted in transit before it reaches us, and transmission security for that traffic is your responsibility.

4.5 Retention and deletion. Customer Content is retained for the retention period of your plan and is deleted automatically when it expires. How a plan change affects Customer Content already stored is described in the Documentation.

4.6 Export. You can retrieve Customer Content through the application and the API at any time during your retention period. You are responsible for exporting anything you wish to keep before it expires or before your Account is closed.

5. Acceptable Use

5.1 Prohibited conduct. You must not, and must not permit any User or third party to:

5.2 Sensitive data. The Service is a log aggregation platform and is not designed or certified as a system of record for regulated categories of data. You must not deliberately route into the Service: payment card primary account numbers subject to PCI DSS; health records subject to specific health-records regimes; or government identifiers such as tax file numbers, other than as they may incidentally appear in log output. You are responsible for configuring your logging so that such data is not deliberately included.

5.3 High-risk use. The Service, including alerting, is not designed for use in circumstances where a failure or delay of the Service could lead to death, personal injury, or physical or environmental damage, and must not be relied on for such purposes.

5.4 Alert delivery. Alerts are evaluated on a schedule and notifications are delivered through third-party channels you configure. We do not guarantee that any alert will be triggered, delivered or received within any particular time, or at all, and you should not rely on alerts as your sole means of detecting critical conditions.

5.5 Enforcement. We may investigate suspected breaches of this clause 5 and may suspend under clause 9 where a breach occurs or is reasonably suspected.

6. API and Agent Access

Any tool, script or AI agent you connect to your Account, through the API or otherwise, acts as you. You are responsible for its use of your tokens and grants, for the queries it runs, and for anything it does with the data it reads. API access is subject to reasonable rate limits.

7. Plans, Fees and Payment

7.1 Plans. The plans, and the allowances, limits and features each plan includes, are set out on the Pricing Page.

7.2 Free period. A new Account starts on a plan free of charge for the period stated when the Account is created. During the free period, ingest beyond the plan's monthly allowance is dropped for the remainder of the calendar month. If the free period or a subscription ends without a paid subscription in place, ingest stops until one starts, and we may close the Account 30 days after the free period or subscription ended.

7.3 Sources. Sources beyond your plan's number of active sources are held pending, as described in the Documentation.

7.4 Allowance on paid plans. If a paid Account exceeds its monthly ingest allowance, ingest continues and no additional charge applies. The allowance is a fair-use limit. If an Account's ingest consistently exceeds it, we may ask you to move to a plan whose allowance fits your usage, and if you do not do so within 30 days of our request, we may limit ingest to the allowance until you do.

7.5 Prices and currency. Prices are stated in US dollars and are exclusive of taxes. GST, VAT, sales tax and other applicable taxes, duties and government charges are your responsibility and will be added at checkout or on your invoice where we are required to collect them. If you are required by law to withhold any amount from a payment, you must gross up the payment so that we receive the full amount invoiced.

7.6 Billing and payment. Subscription fees are billed in advance for each monthly or yearly billing period, using the payment method on file with our payment processor, or as otherwise agreed with you. You authorise us and our payment processor to charge your payment method for amounts due.

7.7 Plan changes. You may change plans at any time. How a change is charged is shown in the application when you make it.

7.8 Price changes. We may change prices and plan allowances by publishing the change on the Pricing Page and giving you at least 30 days' notice. Changes take effect for you at the start of your next billing period after the notice period. If you do not accept a price change, you may cancel under clause 8.2 before it takes effect; if you have prepaid for a period extending beyond the effective date, the existing price applies for the prepaid period.

7.9 Overdue amounts. If amounts are overdue and remain unpaid 14 days after we notify you, we may suspend the Account under clause 9 until payment is made. We may charge reasonable costs of collecting overdue amounts.

8. Term, Cancellation and Refunds

8.1 Term. The Agreement starts when you accept it and continues until your Account is closed under clause 7.2 or this clause 8.

8.2 Cancellation by you. You may cancel at any time through your Account or by emailing support@sanelog.com. Cancellation takes effect at the end of your current billing period, and you retain access until then.

8.3 Refunds. Except as expressly stated in the Agreement or required by law (including the Australian Consumer Law), fees are non-refundable and there are no refunds or credits for partial billing periods, downgrades or unused allowances.

8.4 Termination by either party for cause. Either party may terminate the Agreement immediately by notice if the other party materially breaches the Agreement and fails to remedy the breach within 14 days of notice requiring it to do so, or becomes insolvent, enters administration or liquidation, or ceases to carry on business.

8.5 Termination by us for cause. We may also terminate immediately by notice if your breach of clause 5 (Acceptable Use) is serious and incapable of remedy, or where we are required to do so by law.

8.6 Effect of closure. When your Account is closed for any reason: your and your Users' access ends; amounts accrued to the date of closure remain payable; and Customer Content is deleted in accordance with clause 8.7. Clauses which by their nature should survive (including clauses 4.1, 8.3, 8.6, 8.7, 13, 15, 16, 17 and 19, and the DPA provisions on deletion) survive closure.

8.7 Deletion after closure. We delete Customer Content within 30 days after Account closure, with residual copies in backups expiring in the ordinary course within a further 30 days, except where we are required by law to retain specific data. Export is your responsibility before closure (clause 4.6).

8.8 Prepaid fees on our default. If you terminate under clause 8.4 for our material breach, or cancel in response to a change under clause 2.2 or clause 18 that materially disadvantages you, we will refund the unused pro rata portion of any prepaid fees for the period after the effective date. This clause does not limit any rights you have under the Australian Consumer Law.

9. Suspension

9.1 Grounds. We may suspend your Account or specific features (including ingest, ports, tokens or Users) where reasonably necessary because: (a) amounts are overdue as described in clause 7.9; (b) we reasonably believe there is a breach of clause 5 or a security compromise of your Account; (c) your use poses a genuine risk to the security, integrity or availability of the Service or other customers; or (d) we are required by law.

9.2 Conduct of suspension. We will limit suspension in scope and duration to what is reasonably necessary, give you notice before suspending where practicable (and otherwise promptly after), and lift the suspension promptly once the ground is resolved. Suspension does not relieve your obligation to pay fees for the affected period where the suspension results from your breach.

10. Availability, Support and Maintenance

10.1 Availability. We aim for high availability and operate the Service with commercially reasonable skill and care, but the Service is provided without an uptime guarantee or service-level credits on current plans. Planned maintenance will be scheduled to minimise disruption where practicable.

10.2 Support. Support is provided in English by email at support@sanelog.com during Australian business hours, on a reasonable-efforts basis.

10.3 Ingest is not a queue. The Service ingests data in near real time and is not a guaranteed-delivery message queue. You are responsible for your senders' retry behaviour, and for retaining source copies of logs to the extent your own obligations require it.

11. Third-Party Services

The Service interoperates with third-party services you choose to connect, such as AWS accounts you forward logs from and notification channels you configure. Those services are governed by your agreements with their providers, and we are not responsible for their acts, omissions or availability.

12. Intellectual Property

12.1 Our IP. We and our licensors own the Service, the Documentation, and all software, interfaces and technology used to provide them, including all improvements. You receive only the rights expressly granted in the Agreement.

12.2 Feedback. If you give us feedback, suggestions or ideas about the Service, we may use them without restriction or obligation to you, provided we do not identify you as their source without your consent.

13. Confidentiality

13.1 Definition. "Confidential Information" means non-public information disclosed by one party to the other in connection with the Agreement that is identified as confidential or that a reasonable person would understand to be confidential, including Customer Content, security information and non-public pricing. It does not include information that is or becomes public through no fault of the recipient, was lawfully known to the recipient without duty of confidence, is independently developed, or is lawfully received from a third party without duty of confidence.

13.2 Obligations. Each party must use the other's Confidential Information only to perform the Agreement and exercise its rights under it, protect it with at least reasonable care, and not disclose it except to personnel, advisers and subcontractors who need it and are bound by confidentiality obligations no less protective. A party may disclose Confidential Information where required by law or a regulator, giving the other party reasonable prior notice where lawful and practicable.

14. Privacy

Our handling of personal information about you and your Users (such as registration, billing and audit data) is described in our Privacy Policy. Our processing of personal information contained in Customer Content is governed by the DPA in Schedule 1.

15. Warranties and the Australian Consumer Law

15.1 Mutual warranties. Each party warrants that it has the right and authority to enter into the Agreement.

15.2 Our warranty. We warrant that the Service will be provided with reasonable care and skill.

15.3 Disclaimer. Except as expressly stated in the Agreement and to the extent permitted by law, the Service is provided "as is" and we exclude all other warranties, conditions and representations, whether express or implied, including as to merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or completely secure, or that every log event transmitted to it will be ingested, retained or returned by every query.

15.4 Australian Consumer Law. Nothing in the Agreement excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified. Where such a law permits us to limit our liability for breach of a non-excludable guarantee, our liability is limited, at our option, to resupplying the affected services or paying the cost of having them resupplied.

16. Liability

16.1 No indirect loss. To the extent permitted by law, neither party is liable to the other for loss of profits, revenue, goodwill or anticipated savings, or for indirect or consequential loss, arising out of or in connection with the Agreement, however caused.

16.2 Cap. To the extent permitted by law, each party's total aggregate liability arising out of or in connection with the Agreement is limited to the greater of: (a) the fees paid or payable by you for the Service in the 12 months preceding the first event giving rise to liability; and (b) US$50.

16.3 Exceptions. Clauses 16.1 and 16.2 do not apply to: (a) your obligation to pay fees; (b) your liability under clause 17; (c) a party's liability for infringement or misuse of the other party's intellectual property; (d) liability that cannot be excluded or limited by law, including under clause 15.4; or (e) a party's liability for fraud or wilful misconduct.

16.4 Your data practices. To the extent permitted by law, we are not liable for loss arising from ingest dropped or held in accordance with clause 7 (during or after a free period, or past your plan's number of active sources), from unencrypted ingest you enabled under clause 4.4, or from your failure to export Customer Content under clause 4.6 - in each case except to the extent the loss is caused by our breach of the Agreement or our negligence.

17. Indemnity

You indemnify us against loss, damage, liability and reasonable costs (including reasonable legal costs) we incur in connection with a third-party claim arising from: (a) Customer Content, including any claim that it infringes a third party's rights or was collected or transmitted to us unlawfully; or (b) your use of the Service in serious breach of clause 5 - except in each case to the extent the loss is caused by our breach of the Agreement, our negligence or our wilful misconduct. We will notify you promptly of any such claim, allow you to conduct the defence and settlement of it (provided any settlement fully releases us and does not require us to admit fault or take on obligations), and give you reasonable assistance at your cost.

18. Changes to these Terms

We may update these Terms from time to time. For material changes, we will give you at least 30 days' notice by email to your Account email address or by prominent notice in the application, and the change will take effect at the end of the notice period or, if later, at the start of your next billing period. If a material change disadvantages you and you do not accept it, you may cancel before it takes effect and clause 8.8 applies to prepaid fees. Changes that are required by law, or that do not disadvantage you, may take effect on shorter notice. Non-material changes (such as clarifications and typographical corrections) may be made by publishing the updated Terms.

19. General

19.1 Governing law. The Agreement is governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Victoria and courts entitled to hear appeals from them. This clause does not prevent you from bringing proceedings under mandatory consumer protection laws of your place of residence where those laws so provide.

19.2 Notices. Legal notices to us must be sent by email to legal@sanelog.com or by post to PO Box 127, Camberwell VIC 3124, Australia. Notices to you may be given by email to your Account email address or through the application, and are taken to be received when sent, unless the sender receives an automated delivery failure.

19.3 Assignment. You may not assign or transfer the Agreement without our prior written consent (not to be unreasonably withheld), except to a successor in a merger, acquisition or sale of substantially all assets, on notice to us. We may assign the Agreement to a related body corporate or a successor in a merger, acquisition or sale of the business, on notice to you.

19.4 Subcontracting. We may use subcontractors and service providers (including the subprocessors described in the DPA) to provide the Service, and we remain responsible for their performance.

19.5 Force majeure. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, terrorism, labour disputes, government action, utility or internet failures, and failures of upstream cloud infrastructure, provided the affected party takes reasonable steps to mitigate.

19.6 Entire agreement. The Agreement is the entire agreement between the parties about its subject matter and supersedes all prior discussions and arrangements. Terms on a purchase order or similar document you issue do not apply, even if we process the order.

19.7 Severability and waiver. If a provision of the Agreement is held unenforceable, it is to be read down to the extent necessary or severed, and the rest of the Agreement remains in effect. A failure to enforce a provision is not a waiver of it.

19.8 Relationship. The parties are independent contractors. The Agreement does not create a partnership, joint venture, employment or agency relationship.

19.9 Language. The Service, the Documentation, support and the Agreement are provided in English.

Schedule 1 - Data Processing Addendum

This Data Processing Addendum (DPA) forms part of the Agreement between SaneLog and the Customer and applies to the extent Customer Content includes Personal Data that SaneLog Processes on the Customer's behalf.

1. Definitions

2. Roles and scope

2.1 As between the parties, the Customer is the controller (or, where the Customer acts for its own customer, a processor acting on a controller's instructions) of Personal Data in Customer Content, and SaneLog is the Customer's processor.

2.2 This DPA does not apply to personal information SaneLog handles as a controller in its own right - such as Account registration, billing, support and audit-log data about the Customer and its Users - which is described in the SaneLog Privacy Policy.

2.3 Details of the Processing (subject matter, duration, nature and purpose, categories of data and data subjects) are set out in Annex A.

3. Customer instructions and responsibilities

3.1 SaneLog will Process Personal Data only on the Customer's documented instructions, including as instructed through the Customer's configuration and use of the Service, and as necessary to comply with law (in which case SaneLog will inform the Customer of the legal requirement before Processing unless the law prohibits this). The Agreement, this DPA and the Customer's use of the Service's features are the Customer's complete instructions at the date of the Agreement.

3.2 SaneLog will promptly inform the Customer if, in its opinion, an instruction infringes Data Protection Laws (without any obligation to monitor the Customer's compliance).

3.3 The Customer is responsible for: the lawfulness of its collection and transmission of Personal Data to the Service; providing any required notices to, and obtaining any required consents from, data subjects; and configuring its logging and use of the Service (including retention selection, sender approval and access controls) appropriately for the data it sends.

4. Confidentiality of processing

SaneLog ensures that personnel authorised to Process Personal Data are subject to obligations of confidentiality and Process it only as needed to provide the Service.

5. Security

5.1 SaneLog implements and maintains appropriate technical and organisational measures to protect Personal Data against accidental or unlawful destruction, loss, alteration, unauthorised disclosure or access, as described in Annex B, and keeps those measures under review. SaneLog may update the measures from time to time provided the updates do not materially reduce the overall protection.

5.2 Where the Customer elects to enable unencrypted ingest under clause 4.4 of the Terms, transmission security for that traffic prior to receipt by the Service is the Customer's responsibility.

6. Subprocessors

6.1 The Customer generally authorises SaneLog to engage Subprocessors to provide the Service. The current Subprocessors are listed at app.sanelog.com/legal/subprocessors. Service providers that process only account, billing and administrative data about the Customer and its Users are not Subprocessors.

6.2 SaneLog will give at least 14 days' notice of the addition or replacement of a Subprocessor that Processes Personal Data, by updating the Subprocessor page and notifying Account Admins by email or in the application. If the Customer reasonably objects on data protection grounds and the parties cannot resolve the objection, the Customer may cancel under clause 8.2 of the Terms, and clause 8.8 of the Terms applies to prepaid fees.

6.3 SaneLog imposes data protection obligations on Subprocessors that are no less protective in substance than those in this DPA, and remains responsible to the Customer for its Subprocessors' performance.

7. Data subject requests and assistance

7.1 The Service provides search, export and retention controls that enable the Customer to locate, retrieve and (through retention expiry and account controls) delete Personal Data in Customer Content. Taking into account the nature of the Processing, these tools constitute SaneLog's primary assistance with data subject requests.

7.2 If SaneLog receives a request from a data subject relating to Personal Data in Customer Content, it will not respond substantively (except to direct the person to the Customer, or as required by law) and will promptly notify the Customer where lawful.

7.3 Taking into account the nature of the Processing and the information available to it, SaneLog will provide reasonable further assistance with the Customer's obligations regarding data subject requests, security, breach notification and data protection impact assessments, at the Customer's reasonable cost where the assistance exceeds the Service's built-in tools.

8. Personal Data Breach

SaneLog will notify the Customer without undue delay after becoming aware of a Personal Data Breach, and will provide information reasonably available to it about the nature of the breach, the categories and approximate volumes of data and data subjects concerned, measures taken or proposed, and a contact point - supplementing the notification as information becomes available. SaneLog's notification is not an admission of fault. The Customer is responsible for its own notification obligations to regulators and data subjects.

9. Deletion and return

9.1 Personal Data in Customer Content is deleted automatically on expiry of the Customer's retention period, in accordance with clause 4.5 of the Terms.

9.2 On Account closure, SaneLog deletes remaining Customer Content in accordance with clause 8.7 of the Terms, except where law requires retention of specific data, in which case SaneLog will protect it in accordance with this DPA and delete it when the requirement ends. The Customer may export Customer Content before closure as described in clause 4.6 of the Terms.

10. Audit and information

10.1 SaneLog will make available information reasonably necessary to demonstrate compliance with this DPA, in the first instance through this DPA (including Annex B), its published security documentation, and summaries of any third-party assessments or certifications it holds from time to time.

10.2 Where Data Protection Laws grant the Customer a mandatory audit right that cannot be satisfied under clause 10.1, the Customer (or an independent auditor that is not a competitor of SaneLog) may audit SaneLog's compliance with this DPA on at least 30 days' written notice, no more than once in any 12-month period, during business hours, subject to reasonable confidentiality and safety requirements, at the Customer's cost, and in a manner that does not access other customers' data or disrupt the Service.

11. International transfers

11.1 Log data in Customer Content is stored in the hosting region the Customer selects (currently Australia), and account, billing and administrative data in Australia, as described in clause 2.1 of the Terms. SaneLog will not transfer Personal Data in Customer Content out of the selected region except on the Customer's instruction, as necessary to provide the Service as configured by the Customer, or as required by law. The AI features described in clause 2.3 of the Terms send the information each feature needs, which can include Personal Data in Customer Content, to the AI model providers listed on the Subprocessors page, in the locations stated there, unless the Customer turns AI features off.

11.2 To the extent the Customer's transmission of Personal Data to SaneLog, or any onward transfer, is a restricted international transfer under the GDPR or UK GDPR, the parties incorporate by reference the EU Standard Contractual Clauses (Commission Implementing Decision (EU) 2021/914, Module Two: controller to processor, or Module Three where the Customer is a processor) and, for UK transfers, the UK International Data Transfer Addendum, completed with the details in Annex A, the measures in Annex B, and the Subprocessor list in clause 6 - with the Customer as data exporter and SaneLog as data importer. In case of conflict between those clauses and this DPA, the Standard Contractual Clauses prevail to the extent of the conflict.

12. General

12.1 This DPA takes effect on the date the Customer accepts the Agreement and continues while SaneLog Processes Personal Data under it.

12.2 SaneLog's liability under this DPA is subject to clauses 15 and 16 of the Terms, to the extent permitted by Data Protection Laws.

12.3 In case of conflict between this DPA and the rest of the Agreement concerning the Processing of Personal Data, this DPA prevails.
